NOTICE OF CONTINUED SPECIAL MEETING
THE RIVER MILE METROPOLITAN DISTRICT NO. 2
CITY AND COUNTY OF DENVER, COLORADO
NOTICE IS HEREBY GIVEN that the Board of Directors of The River Mile Metropolitan District No. 2 (the “Board”), City and County of Denver, Colorado (the “District”), will meet in a continued special session on May 18, 2026, at 3:00 p.m. at the offices of McGeady Becher Cortese Williams P.C., 450 E. 17th Avenue, Suite 400, Denver, Colorado 80203 and via video/telephonic means. Members of the public are encouraged to participate by video/teleconference as outlined below. There will be at least one person physically present at the meeting location.

At this meeting, it is anticipated that the Board will make a final determination to issue or refund general obligation indebtedness. Specifically, the Board intends to consider the adoption of a resolution authorizing the District to incur indebtedness in the form of a loan with Key Government Finance, Inc., as lender, in the maximum principal amount of not to exceed $16,000,000 for the purpose of refunding outstanding indebtedness to fund the cost of public improvements and/or funding amounts to pay or reimburse the costs of public improvements for the District. The resolution is expected to approve a Loan Agreement, a Promissory Note evidencing the District’s repayment obligations under such Loan Agreement, a Capital Pledge Agreement and such other documents, certificates and instruments in connection therewith; provide details concerning the aforementioned loan and funds appertaining thereto; ratify acts previously taken concerning the aforementioned loan; repeal all resolutions in conflict therewith; and provide for other matters relating thereto.
The Board will also take up such other business as may be before the Board. The meeting is open to the public.
Pursuant to the provisions of the Supplemental Public Securities Act, one or more members of the Board may participate in this meeting and may vote on the foregoing matters through the use of a conference telephone or other telecommunications device.
