NOTICE OF CONTINUED SPECIAL MEETING
THE RIVER METROPOLITAN DISTRICT NO. 3
CITY AND COUNTY OF DENVER , COLORADO

              NOTICE IS HEREBY GIVEN that the Board of Directors of The River Mile Metropolitan District No. 3 (the “Board”), City and County of Denver, Colorado (the “District”), will meet in continued special session on May 18, 2026, at 3:00 p.m. at the offices of McGeady Becher Cortese Williams P.C., 450 E. 17th Avenue, Suite 400, Denver, Colorado 80203 and via video/telephonic means.  Members of the public are encouraged to participate by video/teleconference as outlined below. There will be at least one person physically present at the meeting location.

            At this meeting it is anticipated that the Board will make a final determination to issue or refund general obligation indebtedness in the form of a Capital Pledge Agreement among the District, The River Mile Metropolitan District No. 2 (“District No. 2”), and Key Government Finance, Inc. (the “Lender”), relating to a loan to District No. 2 from the Lender in the maximum principal amount of not to exceed $16,000,000.00 (the “Loan”). Specifically, the Board intends to consider the adoption of a resolution authorizing the Capital Pledge Agreement and such other documents, certificates and instruments as may be necessary or required to effect the transactions contemplated thereunder; ratifying and confirming the execution of certain other documents, certificates and instruments; making determinations and findings as to matters related to the transaction contemplated under the Capital Pledge Agreement; authorizing incidental actions; repealing prior inconsistent actions. 

             Also at such meeting, the Board will take up such other business as may come before the Board, including the items listed on the attached Agenda.  The meeting is open to the public.

            Pursuant to the provisions of the Supplemental Public Securities Act, one or more members of the Board may participate in this meeting and may vote on the foregoing matters through the use of a conference telephone or other telecommunications device.

           This notice is given by the order of the Board of the District.
